SPIRRA Platform Acceptable Use Policy

This Acceptable Use Policy (hereinafter referred to as “AUP”) outlines the rules and guidelines for using the SPIRRA Platform (“Platform”), an influencer marketing platform that connects marketers with content creators. This AUP applies to all users of the Platform, including but not limited to marketers, influencers, agencies, and any other parties accessing or using SPIRRA’s services. Authorized use of the Platform is defined as any activity that complies with this AUP, the Platform’s Terms of Service, and all applicable laws and regulations. Users are provided with sufficient time to review this AUP before being required to consent and are encouraged to read it thoroughly before agreeing to its terms. 

General Conduct 

All Platform users must: 

  1. Provide accurate and truthful information when creating and maintaining their profiles, including verification of age to ensure legal capacity to consent to this AUP. Users must be at least 18 years old or the age of majority in their jurisdiction, whichever is higher, to use the SPIRRA Platform.
  2. Maintain professional conduct in all Platform interactions.
  3. Respect intellectual property rights and confidentiality agreements.
  4. Comply with all applicable laws, regulations, and industry standards.
  5. 5. Comply with all additional community guidelines and terms of service as provided by SPIRRA.
  6. 6. Comply with all applicable export control laws and regulations.
  7. 7. Refrain from engaging in any form of discrimination and comply with all applicable anti-discrimination laws.
  8. 8. Comply with all applicable anti-bribery and anti-corruption laws, and refrain from engaging in any activities that could be construed as bribery or corruption.
  9. 9. Protect their account credentials and immediately report any unauthorized access

Prohibited Activities 

The following activities are strictly prohibited on the Platform: 

– Misrepresenting follower counts or engagement rates; 

– Creating fake engagement or artificially inflating metrics; 

– Sharing content that is not appropriate for users under 13 years of age;  

– Intentionally spreading misinformation, disinformation, or fake news; 

– Publishing or promoting content that is illegal, fraudulent, or harmful; 

– Sharing explicit, pornographic, or adult-oriented material; 

– Promoting hate speech, discrimination, or harassment; 

– Distributing malware, viruses, or other harmful code; 

– Engaging in excessive self-promotion or spam-like behavior; 

– Conducting unauthorized commercial activities or solicitations; 

– Using the Platform primarily for advertising purposes without proper authorization; 

– Engaging in deceptive marketing practices; 

– Making false claims about products or services; 

– Failing to disclose material connections between marketers and influencers; 

– Violating FTC guidelines or other applicable advertising regulations; 

– Circumventing Platform fees or payment systems; 

– Creating multiple accounts to evade restrictions. 

Marketer-Specific Guidelines 

Marketers using the Platform must: 

  1. Provide clear campaign briefs and expectations;
  2. Honor agreed-upon payment terms and deadlines;
  3. Respect influencers’ creative freedom within agreed parameters;
  4. Maintain transparent communication about campaign requirements;
  5. Provide necessary disclosures and compliance guidelines;
  6. Obtain necessary rights and permissions for content usage.

Influencer-Specific Guidelines 

Influencers using the Platform must: 

  1. Maintain authenticity in sponsored content;
  2. Clearly disclose sponsored content as required by law;
  3. Meet agreed-upon deadlines and deliverables;
  4. Provide accurate audience demographics and engagement metrics;
  5. Honor exclusivity agreements when applicable;
  6. Maintain consistent brand voice and quality standards.

Content Guidelines 

All content posted or promoted through the Platform must: 

  1. 1. Be the sole responsibility of the user who created it, with users being fully accountable for all content they generate, post, or promote through the Platform;
  2. 2. Be original or properly licensed;
  3. 3. Include appropriate sponsorship disclosures;
  4. 4. Comply with platform-specific guidelines (e.g., Instagram, TikTok);
  5. 5. Meet professional quality standards;
  6. 6. Align with agreed-upon campaign objectives;
  7. 7. Respect third-party rights and permissions.

Reporting Violations 

Users should report violations of this AUP by: 

  1. Using the Platform’s reporting tools.
  2. Providing detailed documentation of the violation.
  3. Maintaining confidentiality during investigations.
  4. Cooperating with Platform administrators.

Consequences of Violation 

Violations of this AUP may result in the following consequences, applied progressively based on the severity and frequency of the violation: 

  1. Immediate action without prior notice in cases of severe violations

Violations of this AUP may result in the following consequences, at the discretion of SPIRRA: 

  1. a. Temporary suspension of Platform access;
  2. b. Permanent account termination;
  3. c. Withholding of payments;
  4. d. Legal action when warranted;
  5. e. Public disclosure of violations when required by law.
  6. Users have the right to appeal decisions made following a violation through the Platform’s designated appeal process.
  7. Users will be notified of violations and consequent actions through the Platform’s messaging system and their registered email address.

Dispute Resolution 

  1. Users agree to attempt good-faith resolution of disputes;
  2. Platform-provided mediation services should be utilized when available;
  3. Documentation of all agreements and communications should be maintained;
  4. Users must respond to dispute notifications promptly;
  5. Platform decisions regarding disputes are binding.

Governing Law and Jurisdiction 

This AUP shall be governed by and construed in accordance with the laws of of the State of New York, without regard to its conflict of law provisions. Any disputes arising under or in connection with this AUP shall be subject to the exclusive jurisdiction of the courts located in New York, NY.   

AUP Updates 

  1. SPIRRA reserves the right to modify this AUP at any time
  2. Users will be notified of any changes to this AUP via email and through a prominent notice on the Platform. Users must acknowledge these changes by accepting the updated terms before continuing to use the Platform.
  3. Continued use of the Platform constitutes acceptance of AUP updates. Users may withdraw their consent to this AUP at any time by contacting [email protected]. Withdrawal of consent will result in the termination of the user’s account and access to the Platform.will become effective 30 days after they are announced, unless otherwise specified.
  4. SPIRRA will review this AUP annually and update it as necessary to ensure its relevance and effectiveness.
  5. 5. Previous versions of this AUP will be archived and made available to users upon request through the Support Portal.
  6. 6. A change log summarizing the history of amendments to this AUP will be maintained and made available to users through the Support Portal.

Consent & Acceptance 

To indicate your agreement with this Acceptable Use Policy, you must check the box labeled “I have read, understood, and agree to the SPIRRA Platform Acceptable Use Policy” during the account creation process or when prompted upon logging in. Your use of the Platform is contingent upon providing this explicit consent. 

SPIRRA will maintain a record of your consent, including the date and time of agreement, as evidence of your acceptance of this Acceptable Use Policy. This information will be securely stored and may be used to verify your agreement in case of any disputes or legal requirements.
